Resolution No. 2025-207 — Amending LCO TCL PAP.2 Property and Procurement Policies and Procedures

WHEREAS, the Lac Courte Oreilles Band of Lake Superior Chippewa Indians is a federally recognized Indian tribe ("Tribe") organized pursuant to the provisions of the Indian Reorganization Act of 1934, 25 U.S.C. §5101, et seq.; and,

WHEREAS, the Tribal Governing Board serves as the governing body of Lac Courte Oreilles Band of Lake Superior Chippewa Indians pursuant to Article III, § 1 of the Amended Constitution and Bylaws of the Lac Courte Oreilles Band of Lake Superior Chippewa Indians; and

WHEREAS, pursuant to Article V, § 1(n) of the Amended Constitution and By-laws of the Lac Courte Oreilles Band of Lake Superior Chippewa Indians, the Tribal Governing Board is empowered to "regulate, by enactment of ordinances, the conduct of business within the territory of the band"; and

WHEREAS, pursuant to Article V, Section 1 (s) of the Amended Constitution and Bylaws of the Lac Courte Oreilles Band of Lake Superior Chippewa Indians, the Tribal Governing Board possesses certain powers, including: "To promulgate and enforce ordinances governing the conduct of members of the Lac Courte Oreilles Band of Lake Superior Chippewa Indians of Wisconsin and providing for the maintenance of law and order and the administration of justice by establishing a tribal court and defining its duties and powers."; and

WHEREAS, the Tribal Governing Board duly enacted the Lac Courte Oreilles Property and Procurement Policies and Procedures to regulate any related activities on reservation.

WHEREAS, the Tribal Governing Board passed Resolution 74-2020 amending the Procurement Policies and Procedures, but did not have this change recorded in the Tribal Code of Law in error and now wishes to remedy such error.

NOW THEREFORE BE IT RESOLVED, that the Tribal Governing Board hereby determines that it is in the best interest of the Tribe to amend the Property and Procurement Policies and Procedures and to make the changes effective as intended by Resolution 74-2020, as of September 28th, 2020, the date the original change was made.

NOW THEREFORE BE IT FINALLY RESOLVED, that the attached amendment Title PHS.7 Property and Procurement Policies and Procedures of the Lac Courte Oreilles Band of Lake Superior Chippewa Indians of the Lac Courte Oreilles Tribal Code of Law, including all Attachments, shall be, and hereby is, amended and enacted as an ordinance of the Tribe, pursuant to Article IV, § 3 of the Amended Constitution and Bylaws of the Lac Courte Oreilles Band of Lake Superior Chippewa Indians as follows:

1. PAP.2.5.030(a) of Method Specifications is amended as follows:

(a) Purchases that are less than $10,000:

(1) For purchases of less than ten thousand dollars ($10,000), the Tribal Governing Board shall set the guideline allowing the Tribe the ability to purchase without soliciting competitive quotations if the CPO or designee considers the price to be reasonable.

(2) A Requisition Request must be used for all purchases less than ten thousand dollars ($10,000). The CPO or designee must determine reasonableness based on prior purchase of a similar nature or other source of information. When the purchase order is signed, it signifies that the cost has been determined to be reasonable.

(3) For purchases of less than ten thousand dollars ($10,000), only one bid is required, provided it is determined to be reasonable. Estimates may be based upon recent purchases of similar items, obtained from catalogs, the internet, emails, fax or verbally but must be documented. If the purchase is made for reasons other than price, the file must clearly describe the reason for the purchase. Under no circumstances will a purchase be broken down into more than one action in order to meet the less than ten thousand dollars ($10,000) purchase threshold. The purchase must be documented by the CPO or designee.

2. PAP.2.5.030(b)(1) of Method Specifications is amended as follows:

(1) Requisition Purchase Procurement: For purchases of ten thousand and one dollars ($10,001) but less than two hundred and fifty thousand ($250,000) dollars, also known as Requisition Purchases, supporting documentation documenting at least three price quotations is required. Under no circumstance may a purchase be broken down into more than one action in order to meet the Requisition Purchase threshold. The Requisition Purchase must be documented by an authorized Requisition Form. During the Requisition sign off review the CPO may request additional quotes. The CPO at their discretion may audit any purchase by requesting additional quotes.

3. PAP.2.5.030(b)(2)(A) of Method Specifications is amended as follows:

(A) All purchases/acquisitions exceeding $10,000 must utilize the Requisition Request form which shall be reviewed by the Tribal Legal Department upon the discretion of the CPO or CPO Representative.

4. PAP.2.5.030(c)(1) of Method Specifications is amended as follows:

(1) Any Purchase Procurement valued at ten thousand and one dollars ($10,001) up to the small purchase threshold may be conducted in accordance with the Purchase Order purchase procedures authorized in PAP.2.5.30 Method Specifications, Subpara (a). Contract requirements shall not be artificially divided so as to constitute a purchase order under PAP.2.5.030 Method Specifications.

5. PAP.2.5.030(c)(1)(D) of Method Specifications is amended as follows:

(D) Soliciting Proposals. For the purpose of soliciting written proposals for small purchases under the $250,000 threshold, one or more of the following methods may be used:

6. PAP.2.5.050(e) of Preparation of a Purchase Order is amended as follows:

(e) Purchases for ten thousand dollars ($10,000) or less may be executed by CPO or a representative designated by the CPO;

7. PAP.2.5.050(f) of Preparation of a Purchase Order is amended as follows:

(f) Purchases in excess of ten thousand and one dollars ($10,001) but less than two hundred and fifty thousand ($250,000) dollars shall be reviewed by the Tribe's Legal Department upon the discretion of the CPO or CPO Representative.

8. PAP.2.5.050(g) of Preparation of a Purchase Order is amended as follows:

(g) Purchases in excess of two hundred and fifty thousand ($250,000) dollars may be approved by the TGB after review by the Tribe's Legal Department;

9. PAP.2.5.050(h) of Preparation of a Purchase Order is amended as follows:

(h) The purchase order is used as the primary contract document for contracts, single material and supply purchases of one hundred and fifty thousand ($150,000) dollars or less. At all times the procedures for Informal Solicitations shall be followed. For all purchases in excess of one hundred and fifty thousand ($150,000) dollars, a Purchase Order shall be assigned to the contract. Note the following exceptions:

10. PAP.2.5.050(h)(2) of Preparation of a Purchase Order is amended as follows:

(2) Procurements that are expected to exceed ten thousand ($10,000) dollars but not exceed two hundred and fifty thousand ($250,000) dollars and do not include labor shall be prepared utilizing the Tribes informal solicitations Invitation For Bids (IFB) or Request For Proposals (RFP) format or the Requisition Request and shall be coordinated through the CPO;

11. PAP.2.5.050(m)(1) of Preparation of a Purchase Order is amended as follows:

(1) Purchase Orders: Less than $10,000:

I, the undersigned, as Secretary/Treasurer of the Lac Courte Oreilles Tribal Governing Board, hereby certify that the Tribal Governing Board is composed of seven (7) members, of whom 5 being present, constituted a quorum at a meeting thereof, duly called, convened, and held on this 9^th day of December, 2025, that the foregoing Resolution was duly adopted at said meeting by an affirmative vote of 4 members, 0 against, 0 abstaining, and that said Resolution is a lawful act of the Tribe.
