29.02.080 Boards of Tribal Businesses and Tribal Corporations

(a) If the Tribal Council Organizes a Tribal Business or Tribal Corporation it shall set forth in the organizing documents how the Board of Directors will be comprised of and how the Board of Directors will be appointed. If the Tribal Council will be the Board of Directors the organizing documents shall enumerate such term.

(b) Removal of directors. A director of a corporation wholly owned, directly or indirectly, by the Tribe may be removed with or without cause by the Tribal Council.

(c) Loans to directors. A corporation wholly owned, directly or indirectly, by the Tribe shall be prohibited from loaning or lending money to or guaranteeing the personal obligation of a director, officer or employee of the corporation under any circumstances.
