29.11.080 TMBCI as Member of an LLC

(a) The TMBCI may form or become a member of an LLC formed under this Title only upon approval of such action by resolution of the Tribal Council. The TMBCI may also form or become a member of a foreign LLC, organized under the laws of another Tribe or State.

(b) If TMBCI is a member of any LLC formed under this Title, any action which TMBCI is required or permitted to take with respect to any vote, approval, consent, appointment, direction, or other matter shall be taken as stated by a resolution of the Tribal Council.

(c) In no event shall any manager not member of an LLC in which TMBCI is a member, bind TMBCI in any manner; provided that TMBCI's interest as a member may be bound by manager or member actions as stated in this Title and the Articles of Operation of the LLC.

(d) Nothing contained in this Title shall be construed as creating any liability or waiving of sovereign immunity of TMBCI in any manner; provided that the assets of the LLC in which the TMBCI holds an interest may be subject to liabilities and claims unless otherwise provided herein. In no event shall any action taken by the Tribal Council concerning the exercise of any right or privilege or discharge of any duty with respect to an interest in an LLC be construed as a waiver of immunity or creation of a liability on the part of TMBCI separate and apart from its interests as a member of the LLC.

(e) If the TMBCI is the sole member of an LLC formed under this Title, that LLC shall possess the TMBCI's sovereign immunity from suit except to the extent otherwise provided in its Articles of Operation.
