Turtle Mountain Band of Chippewa Indians Tribal Code

29.13.010 Management

(a) Unless the articles of organization vest management in one or more managers, management of the LLC shall be vested in the members subject to any provision in articles of operation or this Title restricting or enlarging the management rights and duties of any member or group of members.

(b) If the articles of organization vest management in one or more managers, management of the business or affairs of the LLC shall be invested in the manager or managers subject to any provisions in articles of operation or this Title restricting or enlarging the management rights and duties of any manager or group of managers. Unless otherwise provided in articles of operation, the manager or managers:

(1) Shall be designated, appointed, elected, removed, or replaced by a vote of a majority in interest of the members.

(2) Need not be members of the LLC nor individuals.

(3) Unless earlier removed or earlier resigned, shall not hold office until a successor is elected and qualified.
