9.2 Procedure for Dissolution and Winding Up

Upon the dissolution of the Company, a balance sheet shall be prepared by the Company's accountant and furnished to the TMBCI within a reasonable time after dissolution. The Managers shall proceed with reasonable promptness to wind up the business of the Company. If the Managers are directed by the Tribal Council to sell Company assets, they shall not be required to do so promptly but shall have discretion to determine the time and manner in which the sale shall be made, giving due regard to general financial and economic conditions.
